1. 一般条款和条件适用于荷兰百思通律师事务所驻北京代表处的所有业务。经荷兰百思通律师事务所驻北京代表处授权以本事务所名义承接业务的人员在下文中称为“合伙人”。
2. 客户提供的任何业务都归于荷兰百思通律师事务所驻北京代表处名下，而不属于与荷兰百思通律师事务所驻北京代表处有关的任何个人。这包括将由与荷兰百思通律师事务所驻北京代表处有关的特定人员执行的任何客户业务。《荷兰民法典》第7编第404条和第7编第407条第2款因此排除在外。与荷兰百思通律师事务所驻北京代表处“有关人员”是指：荷兰百思通律师事务所驻北京代表处的任何员工、顾问、合伙人、分公司人员和股东。
3. 如果在业务过程中，发生了致使荷兰百思通律师事务所驻北京代表处承担责任的事件，则此类责任不得超过荷兰百思通律师事务所驻北京代表处的专业赔偿保险在此情形下支付的保险金额加上适用的自付额。
4. 如果荷兰百思通律师事务所驻北京代表处负有任何人身或财产损害赔偿责任，则此类责任不得超过荷兰百思通律师事务所驻北京代表处的一般专业公司责任险 (AVB) 在此情形下支付的保险金额加上适用的自付额。
5. 如果出于任何原因，上述两种保险均不支付保险金，则荷兰百思通律师事务所驻北京代表处的责任最多不超过 5,000,000 欧元。
6. 对于损害索赔，从客户知悉相关损害及荷兰百思通律师事务所驻北京代表处责任方之日的第二天算起，一年后损害索赔将过期。
7. 如果荷兰百思通律师事务所驻北京代表处指派一名与本代表处无关的人员执行客户业务，则对于此类人员的任何过错或疏漏，荷兰百思通律师事务所驻北京代表处对客户不负有责任。客户将业务委托给荷兰百思通律师事务所驻北京代表处，即表明客户赋予荷兰百思通律师事务所驻北京代表处代表其接受此类人员规定的责任限制权力。
8. 一般条款和条件可适用于荷兰百思通律师事务所驻北京代表处以及与本代表处有关的每个人，包括但不限于：荷兰百思通律师事务所驻北京代表处的任何有关人员的任何法定全财产继承人；曾与荷兰百思通律师事务所驻北京代表处有关的任何人员；以及曾与荷兰百思通律师事务所驻北京代表处有关的任何人员的任何法定全财产继承人。
9. 在执行客户提供的业务时，荷兰百思通律师事务所驻北京代表处和其第三方理财机构可能会收到客户或第三方提供的钱款。荷兰百思通律师事务所驻北京代表处和其第三方理财机构应该在与相关利益方商讨后，将此类钱款存入荷兰百思通律师事务所驻北京代表处选定的银行。如果所选银行未能履行其义务，荷兰百思通律师事务所驻北京代表处和 其第三方理财机构没有责任。
10. 依照适用法规（包括《反洗钱和反恐怖融资法案》），在某些情况下，荷兰百思通律师事务所驻北京代表处有义务确认客户的身份，并向主管当局汇报某些异常交易。客户将业务委托给荷兰百思通律师事务所驻北京代表处，即表明客户确认他们知道此义务，并在必要时提供其许可。
11. 荷兰百思通律师事务所驻北京代表处与其客户之间的法律关系以荷兰法律为准据。荷兰百思通律师事务所驻北京代表处与客户之间的任何纠纷首先应由荷兰阿姆斯特丹的地方法院全权解决。
这些一般条款和条件提供英文版和中文版。如果英文版和中文版之间有任何分歧，则以英文版为准。

General Conditions
1. These General Terms and Conditions apply to all assignments to De Brauw Blackstone Westbroek N.V. Beijing Office. Persons who are authorized by De Brauw Blackstone Westbroek N.V. Beijing Office to accept assignments on De Brauw Blackstone Westbroek N.V. Beijing Office’s behalf are hereinafter referred to as “partners”.
2. Any assignment by a client is given to De Brauw Blackstone Westbroek N.V. Beijing Office and not to any individual person associated with De Brauw Blackstone Westbroek N.V. Beijing Office. This includes any assignment from a client that is to be performed by a specific person associated with De Brauw Blackstone Westbroek N.V. Beijing Office. Sections 7:404 and 7:407 subsection 2 of the Dutch Civil Code (Burgerlijk Wetboek) are herewith excluded. “Person associated with De Brauw Blackstone Westbroek N.V. Beijing Office” is understood to mean any: employee, advisor, partner, subsidiary and shareholder of De Brauw Blackstone Westbroek N.V. Beijing Office.
3. If, in the course of an assignment, an event occurs that could lead to any liability on the part of De Brauw Blackstone Westbroek N.V. Beijing Office, such liability shall be limited to the amount that is paid out in that specific case under the professional indemnity insurance of De Brauw Blackstone Westbroek N.V. Beijing Office, increased by the amount of the applicable deductible (eigen risico).
4. If De Brauw Blackstone Westbroek N.V. Beijing Office is liable for damages to persons or property, such liability shall be limited to the amount paid out in that specific case under the general professional corporate liability insurance (AVB) of De Brauw Blackstone Westbroek N.V. Beijing Office, increased by the amount of the applicable deductible (eigen risico).
5. If, for whatever reason, no amount is paid out under either of the abovementioned insurances, the liability of De Brauw Blackstone Westbroek N.V. Beijing Office shall be limited to a maximum of EUR 5,000,000.
6. Claims for damages shall expire after a period of one year from the day following the day on which the client became aware of the damages and of De Brauw Blackstone Westbroek N.V. Beijing Office as the liable party.
7. If De Brauw Blackstone Westbroek N.V. Beijing Office engages a person not associated with it to perform an assignment from a client, De Brauw Blackstone Westbroek N.V. Beijing Office shall not be liable vis-à-vis the client for any error or omission (fout) made by such person. By instructing De Brauw Blackstone Westbroek N.V. Beijing Office, the client gives De Brauw Blackstone Westbroek N.V. Beijing Office authority to accept on behalf of the client a limitation of liability stipulated by such person.
8. These General Terms and Conditions may be relied on by De Brauw Blackstone Westbroek N.V. Beijing Office and each person associated with it, including but not limited to any legal successor under universal title of any person associated with De Brauw Blackstone Westbroek N.V. Beijing Office, any person formerly associated with De Brauw Blackstone Westbroek N.V. Beijing Office, and any legal successor under universal title of a person formerly associated with De Brauw Blackstone Westbroek N.V. Beijing Office.
9. In the performance of assignments received from clients, De Brauw Blackstone Westbroek N.V. Beijing Office and Stichting Beheer Derdengelden De Brauw Blackstone Westbroek may receive monies from clients or third parties. De Brauw Blackstone Westbroek N.V. Beijing Office and Stichting Beheer Derdengelden De Brauw Blackstone Westbroek shall deposit such monies with a bank chosen by De Brauw Blackstone Westbroek N.V. Beijing Office in consultation with interested parties. De Brauw Blackstone Westbroek N.V. Beijing Office and Stichting Beheer Derdengelden De Brauw Blackstone Westbroek shall not be liable if the bank chosen fails to fulfill its obligations.
10. Pursuant to applicable legislation (including the Act on the Prevention of Money Laundering and Terrorist Financing (Wet ter voorkoming van witwassen en financieren van terrorisme), De Brauw Blackstone Westbroek N.V. Beijing Office is obliged to verify the identity of its clients and to report certain unusual transactions to the authorities in certain circumstances. By instructing De Brauw Blackstone Westbroek N.V. Beijing Office, clients confirm that they are aware of this obligation and give their permission, insofar as this is required.
11. Dutch law shall govern the legal relationship between De Brauw Blackstone Westbroek N.V. Beijing Office and its clients. Any dispute between De Brauw Blackstone Westbroek N.V. Beijing Office and a client shall be resolved in the first instance exclusively by the District Court (rechtbank) of Amsterdam, the Netherlands.
These General Terms and Conditions are in English and Chinese. In the event of any discrepancy between the English and Chinese versions, the English version shall prevail.
